MOTHERTREE LTD has its registered offices at 3rd Floor, 21 Perrymount Road, Haywards Heath, West Sussex, RH16 3TP. 

 

The website is owned and edited by MOTHERTREE LTD.

 

These terms of use (“Terms of Use”, ”Agreement”) govern your use of the website and the MotherTree Green Living Service.

In these Terms of Use, we use the term MotherTree, “we”, “us” and “our” to refer to the head office of MotherTree at the registered address above and its affiliates. We use the term "service" to refer to our Green Living Service.

 

Please read these Terms of Use carefully before using the website and the service. 

 

By using the website and service, you agree to these Terms of Use. If you do not agree to these Terms of Use, then you are not authorised to use the website and service.

 

Specific services that we offer, or make available to you, may also be governed by additional or alternative terms and conditions with us, or other third parties.

Updates to these Terms of Use

We may change these Terms of Use from time to time, for example, to comply with legal requirements or make technical adjustments, so please check back regularly to keep informed of updates. 

 

The latest version of these Terms of Use will always be available on the website. 

 

Any new version of these Terms of Use shall take effect and will govern the use of the website and the service and your relationship with us immediately upon the date of posting. By continuing to use the website and service, you agree to be bound by the terms of these updates and amendments.

About the Green Living Service

  1. The Green Living Service is a platform which provides research and data analytical services to review the carbon impact of various Financial Service providers. 

  2. We provide a paid-for service known as the Green Living Service - a tailored research Report which helps you to understand the carbon footprint of your current Service Providers, and identifies a range of alternative financial service providers which may better align with your values, and which may offer you financial savings.

  3. We do not offer any financial advice. You are responsible for any financial decisions you make as a result of our Report. 

  4. The accuracy of the research services which we carry out on your behalf will be based on the accuracy of the responses you provide for us in the Survey. 

 

Commencement and Termination

  1. We will send you an invoice for the 1/12th of the total amount due and owing upon signature of this Agreement. 

  2. Upon the successful receipt of the sum listed in the invoice, we will begin our research on your behalf unless otherwise agreed with you. 

  3. Should the invoice not be paid within five (5) days of its receipt, this Agreement will be considered as terminated with immediate effect. 

  4. In the case of any single subject matter contracts, any payments made under this Agreement will be considered as fully non-refundable.

  5. In the case of any multi-subject matter contracts, either party may terminate this Agreement without cause within the first 14 days, by giving a 5 day notice period. We undertake to refund you the remaining sum proportionate to the amount of subject matter areas where research has been conducted on your behalf. We will no longer issue refunds after the initial 14 day service period. 

  6. We will invoice you every month for 11 months to cover the full amount due on the service.

  7. After the 12th month of the service, you may cancel the service by giving a 30 day notice period.

  8. Any charges payable under this Agreement are exclusive of any applicable taxes and VAT. 

 

Intellectual Property

  1. We hereby assign you a non-transferable, non-assignable, royalty-free licence to use the Green Living Service Report in accordance with this Agreement.

  2. Title, copyright, intellectual property rights remain exclusively with MotherTree.

 

Confidentiality 

  1. Confidential information (“Confidential Information”) refers to any data or information relating to you, which would reasonably be considered as private or propriety, which you have provided to us for the purpose of this Agreement. 

  2. We undertake not to disclose, divulge or reveal, for any purpose, this information except as authorized by you or as required by law. Our obligation of confidentiality will apply during the term of this Agreement and will survive indefinitely after termination. 

  3. We undertake to return or destroy any Confidential Information that you have provided to us in accordance with this Agreement upon termination of this Agreement.

Our privacy policy

  1. Our use of any personal data that you provide via the website, as well as information regarding visitors to the website and the ways in which we may use that information, will be governed by our Privacy Policy.

 

Confidentiality, Data Protection and GDPR Privacy

 

  1. Confidential information (“Confidential Information”) refers to any data or information relating to you, which would reasonably be considered as private or propriety, which you have provided to us for the purpose of this Agreement. 

  2. Confidentiality and Personal Data Protection: Each party shall handle personal data provided by the other party as confidential and in accordance with applicable data protection laws including the UK GDPR. Personal data shall only be processed for the purposes of fulfilling this Agreement.

  3. Data Subject Rights: You acknowledge and understand the data subject rights under the UK GDPR. More information can be found within our Privacy Policy. We will be happy to assistt you in responding to data subject requests, as appropriate and within the required timeframes.

  4. Data Security Measures: MotherTree shall implement appropriate technical and organizational measures to protect personal data from unauthorized access, loss, or disclosure. This includes  but is not limited to encryption, access controls, staff training, and regular security assessments.

  5. Subprocessing: MotherTree may engage subprocessors to assist in providing the Green Living Service. MotherTree shall ensure that any subprocessor it engages provides sufficient guarantees regarding data protection and complies with applicable data protection laws.

  6. Data Retention and Deletion: Personal data and Confidential information collected and processed during the provision of services shall be retained for the duration necessary to fulfill the purposes of this Agreement. Upon termination of this Agreement, MotherTree shall delete or return the personal data to the Client, unless otherwise required by law or stated in our Privacy Policy.

  7. We undertake not to disclose, divulge or reveal, for any purpose, this information except as authorized by you or as required by law. Our obligation of confidentiality will apply during the term of this Agreement and will survive indefinitely after termination. 


Indemnification

  1. To the extent permitted by applicable law, we mutually agree to indemnify and hold each other harmless (and any respective employees, affiliates, agents) against any and all claims, losses, damages, penalties whatsoever which result from or arise out of any act or omission of any kind in connection with this Agreement. This indemnification will survive the termination of this Agreement. 

Limitation of Liability

  1. Except for any actions or claims arising from gross negligence or intentional or willful misconduct, to the maximum extent permitted by law MotherTree’s total liability under this Agreement shall not exceed the greater of (i) the total value of this Agreement or (ii) the amount of recoverable damages claimed. 

Governing Law

  1. This Agreement shall be governed by and interpreted in accordance with the laws of the England and Wales.
